(COLLECTIVELY, THE "PROPOSALS")

Reference is made to the Company’s announcements dated 7 October 2025, 14 October 2025, 19 November 2025, 4 December 2025, 30 December 2025 and 31 December 2025 as well as the circular to shareholders dated 5 December 2025 in relation to the Proposals (“Circular”). Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as defined in the Circular.


On behalf of the Board, RHB Investment Bank wishes to announce that the Proposed Disposal has been completed on 21 January 2026 in accordance with the terms and conditions of the SSA following the allotment and issuance of 18,688,347 Consideration Shares by RLEB to PGB on even date.


The 18,688,347 Consideration Shares will be listed and quoted on the Main Market of Bursa Securities on 23 January 2026. The balance Cash Consideration of RM12,068,000 shall be payable by RLSB to POSSB within the Settlement Period or Extended Settlement Period (as the case may be).
