We refer to the Company's announcement on 30 July 2025 and 5 May 2026 in relation to the above subject matter.

On 30 July 2025, the Company received the Initial Letter of Notification dated 28 July 2025 ("ILoN") from the Energy Commission of Sabah ("ECoS") in respect of the approval in-principle granted by Majlis Tenaga Sabah ("MTS") to SCHB Engineering Services Sdn Bhd ("SCES"), being a wholly-owned subsidiary of the Company and Innoprise Corporation Sdn Bhd ("ICSB"), being a subsidiary of Yayasan Sabah (a foundation established under the Sabah Foundation Enactment, 1966) for the proposed development of Gas Peaking Power Plant ("GPPP") with a capacity of 100-megawatts ("MW") in Kimanis, Sabah ("Project").

On 5 May 2026, the board of directors of the Company ("Board") announced the receipt and acceptance of the Letter of Notification on 22 April 2026 ("LoN") from ECoS in respect of the approval of MTS to award the Project to a consortium comprising SCES and NRG Consortium (Sabah) Sdn Bhd ("NRG"), being a wholly-owned subsidiary of ICSB (collectively referred to as the "Consortium"), subject to the terms and conditions therein and the Consortium has on 4 May 2026 accepted the LoN and agreed with its terms and conditions.

Further to the above, the Board wishes to announce that SCES had on 12 May 2026 entered into a shareholders' agreement with NRG and Suria Powergen 1 Sdn Bhd ("SP1SB") ("Shareholders' Agreement") to regulate the relationship between SCES and NRG in SP1SB, being the designated company to develop, construct, operate and own the Project by setting out their mutually agreed rights, duties, liabilities and obligations vis--vis each other in relation to the conduct of the business, affairs and operation of SP1SB, subject to the terms and conditions of the Shareholders' Agreement ("Proposed Joint Venture").

In view of the interest of the interested major shareholder in the Proposed Joint Venture as set out in Section 7 of this Announcement, the Proposed Joint Venture is deemed a related party transaction pursuant to Rule 10.08 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad ("Listing Requirements").
