- WRITS OR STATEMENTS OF CLAIM SERVED ON OCEAN VANTAGE ENGINEERING SDN. BHD., ("OVE"), A WHOLLY-OWNED SUBSIDIARY OF THE COMPANY BY A GROUP OF CREDITORS ("PLAINTIFFS")
The Board of Directors of OVH wishes to inform that OVE ("First Defendant") a wholly-owned subsidiary of the Company and another entity, Stellar Star Engineering & Construction Sdn. Bhd. ("Second Defendant") have been named as defendants (collectively as the "Defendants") in the writs of summons and statements of claims filed by a group of Plaintiffs in relation to the Engineering, Procurement, Construction and Commissioning (EPCC) of the Bintulu Additional Gas Sales Facilities-2 ("BAGSF-2") project.
OVE had on 18May 2026 received sealed Writs and Statements of Claim dated 15 May 2026 from Plaintiffs through their solicitors, Messrs SY Tang & Co Advocates.

The claims generally relate to alleged outstanding payments for works performed, manpower supply, construction support services, equipment rental, logistics, transportation, electrical works, temporary site facilities, civil works, and supply of project-related materials and consumables for the BAGSF-2 project. The Plaintiffs alleged, among others, that the Defendants had engaged them under contractual arrangements (whether by letter of award, purchase orders, oral arrangements and/or conduct), that services and/or goods had been provided for the Project, and that outstanding amounts remain unpaid.
The Plaintiffs have also sought declarations that both the Defendants are jointly and severally liable for the alleged outstanding sums.
Financial and Operational Impact
The Company wishes to clarify that the allegations contained in the statements of claim are claims made by the respective Plaintiffs and have not been adjudicated by the Court. At this juncture, there is no immediate financial and operational impact arising from the litigations other than legal cost and time in defending the claims.
Actions to be taken by the Company
The Company has sought legal advice and appointment of external legal counsel is underway to rebut the claims.
Further announcement(s) are to be made by the Company regarding any material developments, including upon conclusion and final resolution of the above matter.
