On behalf of the Board of Directors of RCE, AmInvestment Bank Berhad wishes to announce that RCE proposes to establish a new employees' share scheme of up to 15% of the total number of issued shares in RCE (excluding treasury shares) at any point in time.

The Proposed ESS will comprise:

(i)     an employees' share option scheme; and

(ii)    a restricted share grant plan,

both of which are intended to incentivise and reward executive directors of RCE (if any) and employees of RCE and its subsidiaries.
