Pursuant to Paragraph 9.03 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of Keyfield wishes to announce that on 8 June 2026, Keyfield Resolute Sdn Bhd ("KRSB"), a wholly-owned subsidiary of Keyfield has entered into a Memorandum of Agreement to acquire a 2014-built AHTS to be renamed as Keyfield Joyful for a purchase consideration of USD7.35 million (equivalent to RM29.6 million at the current exchange rate of USD1:RM4.0285).

The seller of Keyfield Joyful is an unrelated third party company incorporated in Indonesia, belonging to a group of companies headquartered in Singapore.

In addition to the purchase consideration, KRSB expects to incur between RM3.0 - RM4.0 million to progressively upgrade certain specifications of Keyfield Joyful in stages, such as its bollard pull, accommodation capacity, and for it to be a Dynamic Positioning 2 vessel.
