The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Disposal.

We refer to the earlier announcements dated 10 September 2025, 17 October 2025 and 28 November 2025 in relation to the Disposal.

Pursuant to the SSA dated 10 September 2025 entered into between the Company and the Purchaser ("Parties") pertaining to the Disposal, the conditions precedent of the SSA shall be obtained, procured and/ or fulfilled (unless waived in accordance with the SSA) within 6 months from the date of the SSA (i.e. by 9 March 2026), subject to any extension as permitted under the SSA ("Conditional Period"). Further, pursuant to the SSA, in the event the conditions precedent are not satisfied, waived or extended on or before the last day of the Conditional Period, the Parties agreed that the Conditional Period shall be automatically extended by a period of 3 months (i.e. by 9 June 2026).

On behalf of the Board, UOBKH is pleased to announce that the Parties had on 9 June 2026 mutually agreed to further extend the Conditional Period of the SSA until 10 August 2026 ("Extension"). The Extension was made in order to grant the Parties an additional 2 months to fulfill the conditions precedent of the SSA.
