We refer to the Company's announcements dated 2 May 2023, 3 May 2023, 24 May 2023, 30 August 2023, 28 November 2023, 21 February 2024, 23 May 2024, 29 August 2024, 29 November 2024, 26 February 2025, 26 May 2025, 28 August 2025, 13 November 2025, 25 February 2026 and 19 May 2026 in relation to the MOU entered into between Samaiden Cambodia, MST, MVA and PANNA for the development of biogas project in Kampong Seila, Preah Sihanouk Province, Cambodia including renewables energy development, sustainable economic developments as well as other potential programs that may be agreed upon ("Project").

As the parties have not entered into a definitive contract for the Project within twelve (12) months from the date of the MOU and no significant milestones have been achieved to date, the Board of Directors of Samaiden ("Board") wishes to announce that Samaiden Cambodia has issued a thirty (30)-day notice of termination dated 12 June 2026 to the relevant parties to terminate the MOU ("Termination of MOU").

Accordingly, the Termination of MOU shall take effect on 12 July 2026, being the expiry date of the thirty (30)-day notice period stipulated under the MOU.

The Termination of MOU is not expected to have any effect on the earnings per share, net assets per share and gearing of the Company and its subsidiaries ("Group") for the financial year ending 30 June 2026.

The Board, having taken into consideration all aspects of the Termination of MOU, is of the opinion that the Termination of MOU is made in the best interests of the Group.
