(Reference is made to the announcements dated 18 August 2025 and 13 February 2026 in relation to the Proposed JV ("Announcements"). Unless otherwise defined, the definitions used herein shall have the same meanings as defined in the Announcements.)

The Board of Directors of Genting Plantations Berhad ("Board") wishes to announce that the JVAs have become unconditional as of 15 June 2026 ("Unconditional Date"), upon the execution, delivery and completion of a technology, know-how and material transfer agreement between SVST and the JV Technology Company, i.e., Shouguang Vegetable GeneTech Sdn Bhd ("SVG").

The final agreed value of the said technology, know-how and expertise as determined by SVST and SVG is RM210 million, taking into consideration the unique nature of the technology, know-how and expertise and its prospects for new business verticals and synergies.

Completion of the Proposed JV shall be within sixty (60) calendar days from the Unconditional Date or such other date as the Parties may agree in writing.
