CONDITIONAL SALES AND PURCHASE AGREEMENT BETWEEN GUPER BONDED WAREHOUSE SDN. BHD., A WHOLLY OWNED SUBSIDIARY OF HEXTECH AND WIDAD DEVELOPMENT (NILAI) SDN. BHD. (FORMERLY KNOWN AS WIDAD RAIL SDN. BHD.), A WHOLLY OWNED SUBSIDIARY OF WIDAD GROUP BERHAD

We refer to the Company's announcements made on 11 September 2024, 10 March 2025, 17 April 2025, 25 April 2025 and 21 August 2025 ("Announcement") in respect of the HOA and SPA for the proposed disposal of four adjoining parcels of vacant freehold industrial land in Nilai, Negeri Sembilan ("Proposed Disposal"). Unless otherwise defined, all defined terms and abbreviations used in this announcement shall carry the same meaning as those previously defined in the Announcements.

 

The Board of Directors of HexTech wishes to announce that the Vendor and the Purchaser had on 16 June 2026 mutually agreed to terminate and cease all further negotiation and discussion in respect of the Proposed Disposal. Pursuant thereto, neither party shall be under any further obligation and/or claim against in respect thereof.

 

The termination is not expected to have any material effect on the issued and paid-up share capital and shareholdings of substantial shareholders, earnings, net assets of the Company for the financial year ending 31 March 2027.
