PRIVATE PLACEMENT OF UP TO 23,593,513 NEW ORDINARY SHARES IN THE COMPANY ("THETA EDGE SHARE(S)" OR "SHARE(S)"), REPRESENTING APPROXIMATELY 20% OF THE EXISTING TOTAL NUMBER OF ISSUED SHARES TO THIRD-PARTY INVESTORS TO BE IDENTIFIED AT A LATER DATE ("PRIVATE PLACEMENT")

We refer to the announcements made on 3 July 2025 in relation to the Private Placement ("Announcement"). Unless otherwise stated, the terms used herein shall carry the same meaning as those defined in the Announcement.

 

On behalf of the Board, Malacca Securities wishes to announce that, after due deliberations and careful consideration, the Board has decided not to proceed with the implementation of the Private Placement and to abort the Private Placement in view that the Group will explore other fund-raising avenues that could potentially raise higher quantum of proceeds for its business use.
