Introduction:

The Board of Directors of Carlsberg Brewery Malaysia Berhad ("Carlsberg Malaysia") wishes to announce that the Carlsberg Group today has announced an agreement with Sapporo Breweries to enter into a strategic partnership across Southeast Asia, Hong Kong and the UK.

Details of the Announcement / Transaction:

Carlsberg Group and Sapporo Breweries will form a joint venture, whereby Carlsberg Group will retain a 75% stake and maintain full operational control of the business. The transaction remains subject to customary regulatory approvals and closing conditions.

Rationale and Justification:

Building on the successful collaboration between Carlsberg and Sapporo on the sale of Sapporo Premium Beer in Malaysia, Singapore and Hong Kong since 2024, the joint venture will include Carlsberg Group's existing operations in these markets, as well as Vietnam, Laos and Cambodia. The partnership also secures perpetual exclusive rights to produce and distribute Sapporo Premium Beer across the joint venture markets.
