Unless otherwise defined herein, all terms and definitions used herein shall be the same as those defined in the previous announcements.

1.    INTRODUCTION

The Board of Directors of Asdion Berhad ("Board") wishes to announce that the Company has appointed Messrs Krish Maniam & Co. ("KMC") as its legal adviser to assist the Company in relation to its proposed regularisation exercise ("Proposed Regularisation Plan").

2.         SCOPE OF ENGAGEMENT

The scope of engagement of KMC includes, amongst others, the following:-

(a) to advise on and formulate the proposed scheme of arrangement ("Proposed Scheme of Arrangement");

(b) to advise on and formulate the Proposed Regularisation Plan;

(c) to assist the Company in the appointment of a new Sponsor and Investment Bank for the purposes of the Proposed Regularisation Plan;

(d) to assist the Company in the appointment of such other professionals and/or advisers as may be required for the implementation of the Proposed Regularisation Plan; and

(e) to advise on and assist the Company in the appointment of an independent director for the purposes of the Proposed Scheme of Arrangement, subject to the approval of the creditors of the Proposed Scheme of Arrangement.

3.         FURTHER ANNOUNCEMENT

Further announcements on the development of the Proposed Scheme of Arrangement and the Proposed Regularisation Plan will be made to Bursa Malaysia Securities Berhad in due course.
