PRIVATE PLACEMENT OF UP TO 70,000,000 NEW ORDINARY SHARES IN ES SUNLOGY ("SHARES" OR "ES SUNLOGY SHARES"), REPRESENTING NOT MORE THAN 10.0% OF THE ISSUED SHARE CAPITAL OF THE COMPANY ("PRIVATE PLACEMENT")

Unless otherwise defined, the definitions used in this announcement shall have the same meaning as those defined in the Company's announcements dated 27 April 2026, 28 April 2026, 12 May 2026, 15 May 2026, 18 May 2026, 7 July 2026 and 15 July 2026 in relation to the Private Placement.
