1) DATE OF PRESENTATION OF THE PETITION
Pursuant to Rule 9.19(20) of the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad ("Listing Requirements"), the Board of Directors of Taghill wishes to announce that a petition has been filed against its wholly-owned subsidiary, SMSB. The Petition was filed by Super Sunrise Sdn. Bhd. in the High Court of Malaya at Kuala Lumpur and was served on SMSB on 1 July 2026, which was received by the Company on 3 July 2026.
2) THE PARTICULARS OF THE CLAIM UNDER THE PETITION, INCLUDING THE AMOUNT CLAIMED FOR AND THE INTEREST RATE
The Petition was filed pursuant to Sections 465(1)(e) and 466(1)(a) of the Companies Act 2016 under Suit No. WA-28NCC-671-07/2026, seeking an order for SMSB to be wound up.
The said amount comprises the principal judgment sum of RM322,223.30 as at 31 October 2025, together with agreed interest at the rate of 1.5% per month (or 18% per annum) calculated from 1 November 2025 (inclusive) up to 20 April 2026, amounting to RM27,172.69 for a total of 171 days, and costs of RM1,000.00, with no payment received to date, leaving the total outstanding balance of RM350,395.99 as at 20 April 2026.
3) SMSB under Judicial Management Order ("JMO")
On 29 June 2026, the High Court of Malaya had granted a JMO in respect of SMSB for a period of six (6) months commencing from 29 June 2026, unless extended or otherwise ordered by the High Court of Malaya and En. Baltasar bin Maskor has been appointed as the judicial manager of SMSB.
4) CONFIRMATION AS TO WHETHER SMSB IS A MAJOR SUBSIDIARY
SMSB is not a major subsidiary of Taghill.
5) TOTAL COST OF INVESTMENT IN SMSB
As at the date of this announcement, the cost of investment in SMSB is RM60.73 million. For information, the cost of investment in SMSB has been fully impaired during the 17-month financial period ended 31 May 2025.
6) FINANCIAL AND OPERATIONAL IMPACT OF THE PETITION
The Board is of the view that the Petition would not have any material impact on the financial position or operations of the Company and its subsidiaries ("Group"), taking into consideration that the amount claimed is not material to the Group.
7) THE EXPECTED LOSSES, IF ANY, ARISING FROM THE PETITION
Save for the legal cost and expenses connected to this matter, the Company is not expected to incur any further loss arising from the Petition.
8) STEPS TAKEN AND PROPOSED TO BE TAKEN IN RESPECT OF THE PETITION
The hearing of the Petition is fixed on 7 September 2026.
SMSB has appointed solicitors and will take the necessary steps to safeguard its interests, including contesting the Petition and/or seeking an amicable resolution, where appropriate.
9) REASON(S) FOR THE DELAY IN MAKING AN IMMEDIATE ANNOUNCEMENT ON THE PETITION
The delay in making an immediate announcement on the Petition was due to the Company's need to verify the validity and legality of the Petition, engage solicitors for legal advice, and to assess the merits of the claim.
The Company will make further announcements on any material developments in respect of the above matter in accordance with the Listing Requirements.
