The Board of Directors of Hap Seng Consolidated Berhad wishes to announce that its wholly-owned subsidiary, HS Credit (Brisbane) Pty Ltd ("HSC Brisbane"), has on even date received a notification from Australian Securities & Investments Commission ("ASIC") to inform that HSC Brisbane was successfully deregistered voluntarily from ASIC on 26 July 2026.
HSC Brisbane was incorporated in Australia on 2 November 2017 as private limited company. Prior to the deregistration, HSC Brisbane had an issued and paid-up share capital of AUD100.00 comprising 100 ordinary shares and was dormant since incorporation. HSC Brisbane is a wholly-owned subsidiary of HSC Brisbane Holding Pte Ltd, which in turn is the wholly-owned subsidiary of HSC International Limited and HSCB.
The deregistration of HSC Brisbane would not have any material effect on the earnings and net assets of HSCB Group for the financial year ending 31 December 2026.
To the best of the knowledge of the directors, none of the directors or major shareholders or persons connected to the directors or major shareholders of the Company has any interests, direct or indirect, in the said deregistration of HSC Brisbane.
