On behalf of the Board of Directors of Steel Hawk ("Board"), UOB Kay Hian (M) Sdn Bhd ("UOBKH") wishes to announce that Steel Hawk Manufacturing Sdn Bhd ("SHMSB"), a wholly-owned subsidiary of the Company, had on 30 July 2026 entered into a conditional subscription agreement ("Subscription Agreement") with Sparksfly and its shareholders, Jeyachilen A/L Krishnanmuty and Ajaykumar Anantha Kumar (collectively, the "Promoters"), for the proposed subscription of 611,112 new ordinary shares in Sparksfly, representing approximately 55% of the enlarged issued share capital of Sparksfly ("Subscription Shares") for a cash consideration of RM1,100,000.00 ("Subscription Consideration"). Further, SHMSB, Sparksfly and the Promoters, had entered into a Shareholders Agreement on even date to regulate their relationship as shareholders of Sparksfly following completion of the Proposed Subscription and to govern the management and affairs of Sparksfly ("Shareholders Agreement").

Upon completion of the Proposed Subscription, Sparksfly will become a 55%-owned indirect subsidiary of Steel Hawk, held via SHMSB.
