The Board of Directors of Genting Plantations Berhad ("GENP") is pleased to announce that GENP's wholly-owned subsidiary, Genting Property Sdn Bhd ("Guarantor") via its wholly-owned subsidiary, Bina Restu Berhad ("Bina Restu"), had on 31 July 2026 successfully undertaken its first issuance of RM200.0 million in nominal value of Islamic medium term notes ("Sukuk Murabahah") under the Sukuk Murabahah Programme of RM2.0 billion in nominal value under the Shariah principle of Murabahah (via Tawarruq arrangement) ("Sukuk Murabahah Programme").
The Sukuk Murabahah has a tenure of five (5) years and is unrated.
Bina Restu, the issuer shall advance the proceeds from the issuance of the Sukuk Murabahah to the Guarantor, GENP and/or GENP's subsidiaries (the "Group") via Shariah-compliant intercompany advances.
The Group will thereafter apply such proceeds for the following Shariah compliant purposes:-
(a) to finance and/or reimburse property development costs and property development-related activities, including land acquisition for property developments;
(b) for working capital requirements and capital expenditures in relation to the Group's property developments;
(c) to finance and/or reimburse fees and expenses related to the Sukuk Murabahah Programme and the Sukuk Murabahah issued thereunder; and
(d) to fund the respective Designated Account(s) (where applicable).
In relation to first issuance of the Sukuk Murabahah, the Sukuk proceeds shall be utilised to finance and/or reimburse property development costs undertaken by the Group.
Public Investment Bank Berhad is the Principal Adviser and Lead Arranger for the Sukuk Murabahah Programme, as well as the Lead Manager for the first issuance of the Sukuk Murabahah under the Sukuk Murabahah Programme.
