The Board of Directors of the Company ("Board") wishes to announce that SSSB, an indirect wholly owned subsidiary of MRCB, had on 7 August 2026 entered into a conditional sale and purchase agreement ("SPA") with Digital Cosmos, a wholly owned subsidiary of Digital Cosmos (S) Pte Ltd, for the proposed disposal of seven (7) parcels of land located at Cyberjaya, Selangor measuring 36.66 acres (collectively, the "Original Lands") to Digital Cosmos for a cash consideration of RM419,051,556 ("Disposal Consideration"), upon the terms and subject to the conditions as set out in the SPA ("Proposed Disposal"). The Original Lands which will subsequently be held under one (1) single document of title ("New Title Deed") would measure approximately 45.81 acres upon the completion of the surrender and re-alienation ("Subject Land").
