The Board of Directors of BM GreenTech Berhad ("BM GreenTech" or the "Company") wishes to announce that the Company's wholly owned subsidiary, Boilermech Sdn Bhd ("BSB") had on 19 August 2026 entered into a Memorandum of Understanding with QL NutriFood Sdn Bhd ("QL NutriFood") and Synbio Power Sdn Bhd ("Synbio") ("MOU") to provide a framework for the parties' collaboration through the Special Purpose Vehicle ("SPV"), namely BM BioEnergy Innovations Sdn Bhd ("BM BEI") setting out their participation in the venture.

The SPV is intended to develop, construct, operate and own an 8MW (net export) Co-generation biomass power plant ("the Project") in Hutan Melintang, Perak, with an estimated project value of RM110 million, subject to the terms and conditions of the Shareholders' Agreement once finalised. The salient terms of the MOU are as follows: -

(a) BSB and QL NutriFood each holds a 40% equity interest, while Synbio holds the remaining 20% equity interest in BM BEI;

(b) BSB would be the turnkey engineering, procurement and construction contractor, undertaking design, manufacturing, delivery, installation, testing, and commissioning as well as project management, and operations and maintenance support for the biomass power plant in Hutan Melintang, Perak targeted to be commissioned within 3 years;

(c) QL Nutrifood and its related companies would be the steam supply offtaker as well as industrial plant land owner; and

(d) Synbio is an entity owned by independent palm oil mills in the area and will be the main feedstock supplier for the biomass power plant.

BM BEI received an approval from Sustainable Energy Development Authority Malaysia ("SEDA") on the development of biomass power plant under the enhanced 2.0 Feed-in Tariff ("FiT") scheme with the following details: -

The Project is expected to be completed by 3^rd quarter 2029 with the Feed-in Tariff to be effective for a period of twenty-one (21) years from approval date.

The Company's investment in the Project will be financed through internally generated funds and/or bank borrowings.

There are no foreseeable significant risks other than operational risk associated with the Project. BM GreenTech would put in place control measures and operational procedures to reduce the impact or likelihood of such events.

The Project is not expected to have any material impact on the earnings and net assets of BM GreenTech Group for the financial year ending 31 March 2027. However, the Project is expected to contribute positively to the future earnings of BM GreenTech through the Engineering, Procurement, Construction and Commissioning contract of BSB as well as stable and recurring long term cash flows generated from the Feed-in Tariff programme under BM BEI.

None of the Directors or major shareholders of BM GreenTech and persons connected with them has any direct or indirect interest in the Project, save for the interest arising from QL Nutrifood, a related corporation of BM GreenTech under the common ultimate holding company, QL Resources Berhad.
