Description
SALE AND PURCHASE AGREEMENTS FOR TWO (2) PIECES OF LANDS
We refer to the announcements dated 29 May 2025, 11 June 2025, 2 September 2025, 24 November 2025 and 19 December 2025 in relation to the above mentioned ("Announcements").
All abbreviations and definitions used herein shall have the same meanings as the words and expressions defined in the Announcements, except where the context otherwise requires or where otherwise defined herein.
Further to the Announcements, the Board of Directors wishes to announce that:
1. the amended and restated sale and purchase agreement dated 19 December 2025 between Open Road (East Coast) Sdn. Bhd., the wholly-owned subsidiary of the Company (the "OREC") and Tregon Construction Sdn Bhd ("Tregon") in respect of the following land ("PM 3669 SPA"), has been terminated on 20 August 2026
All that piece of leasehold land for 99 years expiring on the 28th September 2114 held under No. Hakmilik PM 3669, No. Lot 78304 (previously known as Hakmilik Sementara No. H.S.(M) 11338, No. PT 28520), Tempat Muara Sungai Marang, Mukim Pulau Kerengga, Daerah Marang, Negeri Terengganu measuring approximately 2,042 square metres, with the land use category of "Building".
and
2. OREC and Tregon have on 20 August 2026 entered into supplemental letter ("Supplemental Letter") to amend and supplement the amended and restated sale and purchase agreement dated 19 December 2025 ("Amended and RestatedSPA for PM 3668 Land") in relation to the property as detailed below ("PM 3668 Land"):
All that piece of leasehold land for 99 years expiring on the 3rd October 2114 held under No. Hakmilik PM 3668, No. Lot 78303 (previously known as Hakmilik Sementara No. H.S.(M) 11464, No. PT 28519), Tempat Muara Sungai Marang, Mukim Pulau Kerengga, Daerah Marang, Negeri Terengganu measuring approximately 19,543 square metres (previously recorded as 19,542 square meters), with the land use category of "Building".
