The Board of Directors of Sungei Bagan Rubber Company (Malaya) Berhad ("SBR" or the "Company") wishes to announce that pursuant to Paragraph 10.08(1) of Chapter 10 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, that the Company had on 20 August 2026 entered into a Sale & Purchase Agreement ("SPA") with Mixed Holdings (Private) Limited (196900756K) to purchase the entire share capital of Angtong Estates Sdn. Bhd. (Registration No. 201701012925 (1227090-X) ("AESB") for RM3,500,000 to be satisfied in cash (the "Proposed Acquisition").

Further details of the Proposed Acquisition are set out in the attachment enclosed.
