The Board of Directors of TSR Capital Berhad ("TSR Capital" or "the Company") wishes to announce that its wholly-owned subsidiary, TSR Bina Sdn. Bhd. ("TSR Bina"), has accepted a Letter of Award from Perbadanan Kemajuan Negeri Selangor for the construction and completion of building works in Selangor for a contract sum of approximately RM158 million ("the Contract").

DETAILS OF THE CONTRACT

The scope of works under the Contract comprises the construction and completion of building works in Selangor. The Contract is for a duration of approximately three (3) years and is scheduled to be completed by the first quarter of 2029.

FINANCIAL EFFECTS

Barring any unforeseen circumstances, the Board of Directors of TSR is of the opinion that the Contract is expected to contribute positively to the earnings and net assets of the Group for the financial years ending 30 June 2027, 30 June 2028 and 30 June 2029.

RISK FACTORS

The Board does not foresee any exceptional risk factors other than the normal operational and project risks associated with construction contracts, which will be mitigated through the Group's established risk management and internal control processes.

CONTRACT RENEWAL STATUS

The Contract is not subject to renewal.

DIRECTORS' AND MAJOR SHAREHOLDERS' INTERESTS

None of the Directors or major shareholders of TSR Capital or persons connected to them have any direct or indirect interest in the Contract.

DIRECTORS' STATEMENT

The Board of Directors of TSR Capital, having considered all relevant factors, is of the opinion that the acceptance of the Contract is in the best interest of the Company and its shareholders.

APPROVALS REQUIRED

The Contract is not subject to the approval of the shareholders of TSR Capital or any relevant regulatory authorities.
