The resignation of Mr Lim Keng Hun is to enable him to devote more time and attention to overseeing and managing the business and operations of Knight Auto Sdn. Bhd..

Mr Lim Keng Hun is the sibling of Tan Sri Datuk Seri Lim Keng Cheng ("Tan Sri KC Lim"), Datuk Lim Keng Guan and Madam Lim Pak Lian, who are the Directors of the Company. He is also the uncle of Mr Lim Ding Shyong, who is the son of Tan Sri KC Lim. 

Tan Sri KC Lim, Datuk Lim Keng Guan, Madam Lim Pak Lian and Mr Lim Keng Hun are the major shareholders of the Company by virtue of their direct interest in Lim Seong Hai Holdings Sdn. Bhd., a major shareholder of the Company.

Save for the recurrent related party transactions of a revenue or trading nature disclosed in the Circular to Shareholders dated 23 January 2026, which were approved by the shareholders at the Fifth Annual General Meeting of the Company held on 26 February 2026 as well as the conflict of interest disclosed in the Prospectus dated 28 February 2025, Mr Lim Keng Hun has no conflict of interest or potential conflict of interest with the Company and the Group.

1. Direct interest of 14,955,281 ordinary shares held in the Company; and
2. Indirect interest of 498,040,709 ordinary shares held by Lim Seong Hai Resources Sdn. Bhd., in which he is deemed interested via his direct interest in Lim Seong Hai Holdings Sdn. Bhd. pursuant to Section 8(4) of the Companies Act 2016.
