1.0 Introduction
The Board of Directors of Winstar ("Board") wishes to announce that the Company has on 21 September 2026, lodged the required information and relevant documents in relation to the establishment of the Sukuk Murabahah Programme with the Securities Commission Malaysia ("SC") pursuant to the SC's Guidelines on Unlisted Capital Market Products under the Lodge and Launch Framework dated 9 March 2015 (effective on 5 June 2015) and revised on 30 March 2026 (as amended from time to time).
2.0 Details of the Sukuk Murabahah Programme
The Sukuk Murabahah Programme is under the Shariah principle of Murabahah via Tawarruq arrangement, under which the Company may from time to time issue IMTN, provided that the aggregate outstanding nominal value of the IMTN shall not exceed RM300.0 million at any time.
The tenure of the Sukuk Murabahah Programme is 30 years from the date of first issuance of the IMTN, and the first issuance shall be made within 90 business days from the date of lodgement with the SC.
MARC Ratings Berhad as the Credit Rating Agency has assigned a preliminary rating of AIS/Stable to the Sukuk Murabahah Programme.
3.0 Utilisation of Proceeds
The proceeds raised from the issuance of the IMTN under the Sukuk Murabahah Programme shall be utilised for the following Shariah-compliant purposes:
(a) to defray fees, costs and expenses in relation to the Sukuk Murabahah Programme;
(b) to finance and/or reimburse investment activities, capital expenditure, working capital requirements and/or other general corporate purposes of Winstar and/or its subsidiaries (via inter-company advances made through Shariah-compliant arrangements), including but not limited to the purchase of land(s), building(s), Shariah-compliant shares, property and/or payment into its subsidiaries;
(c) to fund the required deposit amount into the Trustees' Reimbursement Account for Sukukholders' Actions as required under the Guidelines on Trust Deeds issued by the SC; and/or
(d) to refinance existing bank borrowings, Islamic financing facilities and/or future Islamic financing facilities, whether in whole or in part, undertaken or to be undertaken by Winstar and/or its subsidiaries.
4.0 Advisers
MBSB Investment Bank Berhad is the Principal Adviser, Lead Arranger, Lead Manager and Facility Agent for the Sukuk Murabahah Programme.
MBSB Bank Berhad is the Shariah Adviser for the Sukuk Murabahah Programme.
5.0 Statement by the Board
The Board, having considered all aspects of the Sukuk Murabahah Programme, is of the opinion that the establishment of the Sukuk Murabahah Programme is in the best interest of the Company.
TA Securities Holdings Berhad ("TA Securities"), being the Sponsor, was responsible for the admission of the Company to the ACE Market of Bursa Malaysia Securities Berhad on 19 December 2024. TA Securities assumes no responsibility for the contents of this announcement and matters in relation to the Sukuk Murabahah Programme.
