The Board of Directors of the Company wishes to inform that Grand Dynamic Builders Sdn. Bhd. ("GDBSB"), a wholly-owned subsidiary of the Company, is informed by its solicitors, that:

(a) the Receivers & Managers of Damai City Sdn. Bhd. (In Liquidation) has filed a Scheme of Arrangement in the Kuala Lumpur High Court Originating Summons No.: WA-24NCC(SOA)-14-9/2026 in relation to Damai City Sdn. Bhd. (In Receivership) (In Liquidation) ("DCSB") for the amongst others, the following;

     (i) seeking leave of Court to file the proceedings pursuant to a Court Order dated 13 May 2024 vide Kuala Lumpur High Court Originating Summons WA-28JM-10-04/2024 ("Court Order");

    (ii) upon granting of the said leave, for leave to convene meetings with a specific ground of DCSB's creditors ("Scheme Creditors") pursuant to section 366 of the Companies Act 2016 ("meetings");

   (iiI) if approval is obtained in such meetings, that the Receivers & Managers of Damai City Sdn. Bhd. (In Liquidation) be at liberty to apply to the Court to approve the proposed scheme of arrangement and compromise;

(b) the Liquidators of DCSB, Mr. Lim Tian Huat and Mr. Chiang Teng Guan (both of Rodgers Reidy & Co), have filed a Notice of Application dated 22 September 2026 seeking leave of Court to intervene in the above proceedings; and

(c) GDBSB have also filed a Notice of Application dated 24 September 2026 seeking leave of Court to intervene in the above proceedings.
