On behalf of the Board of Directors of AYER ("Board"), UOB Kay Hian (M) Sdn Bhd ("UOBKH") wishes to announce that Kuchai Urban Development Sdn Bhd ("KUD"), a wholly-owned subsidiary of AYER, had on 28 September 2026, entered into a conditional sale and purchase agreement ("SPA") with Bukit Cemerlang Sdn Bhd ("BCSB" or the "Vendor"), for the proposed acquisition of 2 parcels of contiguous freehold land located in Mukim Petaling, Daerah Kuala Lumpur, for a purchase consideration of RM138.00 million, to be satisfied entirely in cash ("Proposed Acquisition").

Further details on the Proposed Acquisition are set out in the attachment enclosed.
