The Board of Directors ("the Board") of Zetrix AI wishes to announce that the Company has received a notice from Messrs. TGS TW PLT ("TGS") in respect of their resignation as the External Auditors of the Company ("Notice of Resignation"). Notwithstanding lengthy discussions between TGS and the Company, TGS has maintained its wish to resign due to its portfolio rationalization and resource management. Consequently, the Board has accepted the resignation of TGS on 28 September 2026.

Pursuant to Section 281(1) of the Companies Act 2016 ("CA 2016"), TGS has tendered its resignation as the External Auditors of the Company. In accordance with Section 281(2) of the CA 2016, TGS's term of office shall end twenty-one (21) days from the date of the Notice of Resignation.

Saved as disclose above, the Board is not aware of any other matter relating to the resignation of TGS that needs to be brought to the attention of the shareholders of the Company.

The Company will make a further announcement in due course upon the appointment of new External Auditors to fill the casual vacancy pursuant to Section 271(2)(b) of the CA 2016.
