Unless otherwise stated, all abbreviations and definitions used herein shall have the same meaning as those used in the offer document dated 27 August 2026 ("Offer Document") and the announcement dated 14 September 2026 ("Announcement") in relation to the Offer.
We refer to the Offer Document and the Announcement.
On behalf of the Offeror and the Ultimate Offeror, Maybank IB wishes to inform that based on the level of acceptances of the Offer as at 5.00 p.m. (Malaysian time) on Wednesday, 30 September 2026, the Offeror had received valid acceptances of not less than nine-tenths (9/10) in the nominal value of the Offer Shares (excluding MKH Shares already held by the Offeror, the Ultimate Offeror and the PACs at the date of the Offer).
As such, the Offeror and the Ultimate Offeror will invoke the provisions of subsection 222(1) of the CMSA to compulsorily acquire any remaining Offer Shares from the Dissenting Holders. Accordingly, the Offeror will issue a compulsory acquisition notice under subsection 222(1) of the CMSA, which will be sent to all Dissenting Holders within two (2) months from 30 September 2026.
In accordance with Paragraph 16.02(3) of the Listing Requirements, Bursa Securities will suspend the trading of the MKH Shares on the Main Market of Bursa Securities upon the expiry of five (5) market days from the Extended Closing Date of the Offer. The suspension will result in the securities of MKH no longer being traded on Bursa Securities. Thereafter, the Offeror and the Ultimate Offeror will procure MKH to take the requisite steps to withdraw its listing status from the Official List in accordance with Paragraph 16.07 of the Listing Requirements. If MKH is delisted from the Official List, MKH Shares will no longer be traded on the Main Market of Bursa Securities.
Notwithstanding the above, the Offer will remain open for acceptances until 5.00 p.m. (Malaysian time) on Thursday, 8 October 2026.
