Further to the Company's announcement dated 30 September 2026 in relation to the provision of financial assistance in the form of advances to its subsidiaries, Eastern Forever Sdn. Bhd. ("EF") and Eastern Forever (Sabah) Sdn. Bhd. ("EFSAB"), the Board wishes to clarify, in particular, item 7 of the said announcement.

Notwithstanding that Mr. Peter Chai and Mr. Adam Chai are common directors of EF and EFSAB, the provision of financial assistance does not constitute a related party transaction solely by virtue of such common directorships. Pursuant to Rule 10.08(11) of the ACE Market Listing Requirements ("ACE LR"), a transaction shall not be regarded as a related party transaction where the only interested relationship arises from a related party who is a director or major shareholder of a subsidiary of the listed corporation.

In this regard, there are no other interested relationships in connection with the provision of financial assistance apart from the common directorships of Mr. Peter Chai and Mr. Adam Chai in the relevant subsidiaries. Accordingly, the provision of financial assistance does not constitute a related party transaction under the ACE LR.
