We refer to the announcement dated 26 August 2026 in relation to the Dredger Acquisition ("Announcement"). Unless otherwise stated, the definitions used herein shall have the same meanings as set out in the Announcement.

Keyfield wishes to announce that it has signed an Addendum No. 1 to the MOS with Inai Rimba Sdn. Bhd. (Receivers and Managers Appointed) (the "Seller") ("Addendum No. 1") on 9 October 2026.

Pursuant to Addendum No. 1:

i) the Balance Purchase Consideration shall be lodged with the stakeholder in two tranches:

    a) 10% of the Purchase Consideration by 10 October 2026; and

    b) the remaining balance within 2 banking days upon the issuance of the Notice of Readiness, failing which the Seller may forfeit 20% of the Purchase Consideration, equivalent to USD4,933,600;

ii) the Notice of Readiness shall not be tendered before 20 October 2026;

iii) the cancelling date has been extended to 30 October 2026; and

iv) Keyfield shall pay the Seller the costs of the Dredger from 11 October 2026 to the date of delivery of the Dredger.

In view of Addendum No. 1, the Vessel shall now be delivered to Keyfield by 30 October 2026, or such date as may be mutually agreed.

A copy of Addendum No. 1 is available for inspection at the registered office of our Company at  Level 5, Guoco Tower, 6 Jalan Damanlela, Damansara City, Bukit Damansara, 50490 Kuala Lumpur during normal business hours from Mondays to Fridays (except for public holidays) for a period of three (3) months from the date of this announcement.
