Reference is made to the Company's earlier announcements dated 13 August 2026 and 19 August 2026 in relation to the Proposals ("Earlier Announcements"). Unless stated otherwise, abbreviations and definitions used throughout this announcement shall bear the same meaning as those defined in the Earlier Announcements.

On behalf of the Board, Malacca Securities wishes to announce that Bursa Securities had vide its letter dated 12 October 2026, resolved to approve the listing and quotation of the following:-

1. up to 33,733,970 new ordinary shares in CHRB to be issued pursuant to the Proposed Private Placement; and

    

2. such number of new ordinary shares, representing up to 15% of the total number of issued shares of CHRB (excluding treasury shares, if any), to be issued pursuant to the Proposed ESS.

The approval granted by Bursa Securities is subject to the following:-

1. CHRB and Malacca Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposals;

    

2. CHRB is required to furnish Bursa Securities with a certified true copy of the resolutions passed by the shareholders at the extraordinary general meeting approving the Proposals;

    

3. Malacca Securities is required to furnish Bursa Securities with details of the placees in accordance with paragraph 6.15 of the Listing Requirements as soon as practicable after each tranche of placement and before the listing of the new shares to be issued pursuant to the Proposed Private Placement;

    

4. CHRB and Malacca Securities are required to inform Bursa Securities upon completion of the Proposed Private Placement;

    

5. CHRB is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Private Placement is completed;

    

6. Malacca Securities is required to submit a confirmation to Bursa Securities of full compliance of the Proposed ESS pursuant to paragraph 6.43(1) of the Listing Requirements and stating the effective date of implementation; and

    

7. CHRB is required to furnish Bursa Securities on a quarterly basis a summary of the total number of CHRB Shares listed pursuant to the Proposed ESS as at the end of each quarter together with a detailed computation of listing fees payable.
