Puncak wishes to announce that Jadekind Limited ("Jadekind"), a subsidiary of PNHB incorporated in Hong Kong, has been deregistered pursuant to Section 751 of the Hong Kong Companies Ordinance.

The Hong Kong Companies Registry, vide its letter dated 2 October 2026, confirmed that Jadekind was deregistered pursuant to Gazette Notice No. 6207 published on 2 October 2026 and was accordingly dissolved with effect from the date of publication of the said Gazette Notice.

INFORMATION ON JADEKIND
Jadekind was incorporated on 25 October 2017 as a private limited company duly incorporated in Hong Kong. Its current paid-up share capital is HKD2,000,000 and had ceased its business on 31 December 2023 and has no intention to carry out business in future.

RATIONALE
The deregistration and dissolution of Jadekind is part of Puncak's exercise to streamline Puncak Group's corporate structure and for administrative efficiency by dissolving subsidiaries which are dormant.
 

FINANCIAL EFFECTS

The deregistration and dissolution of Jadekind will not have any material financial impact on the earnings, net assets and gearing of Puncak Group for the financial year ending 31 December 2026.

DIRECTORS' AND/OR MAJOR SHAREHOLDERS' INTEREST

None of the Directors and/or major shareholders of PNHB and/or persons connected with them has any interest, direct or indirect, in the deregistration and dissolution of Jadekind.

APPROVAL REQUIRED
The deregistration and dissolution is not subject to the approval of the shareholders of Puncak.
