Unless otherwise stated, the abbreviations and definitions used throughout this announcement shall have the same meanings as those previously defined in the Company’s first announcement dated 14 August 2023 (Reference Number: GA1-14082023-00008) in relation to the Proposed Transfer and Proposed Withdrawal of Listing, and all the subsequent announcements in relation thereto.

The Board wishes to announce that it had on 22 August 2024, received a notice of unconditional voluntary take-over offer (“Notice”) from TA Securities, on behalf of the Joint Offerors, to undertake the Exit Offer to acquire all the remaining ordinary shares in CRG (excluding treasury shares) not already held by the Joint Offerors (“Offer Shares”) for a cash consideration of RM0.215 per Offer Share to facilitate the Transfer and Withdrawal of Listing.

As stated in the Notice, in the event that the Joint Offerors receive Valid Acceptances resulting in the Joint Offerors and their associates hold in aggregate 90% or more of the total listed CRG Shares (excluding treasury shares, if any), the Joint Offerors intend to maintain the listing status of CRG on the LEAP Market while pending the completion of the Transfer.

A copy of the Notice is attached herewith and will be posted to the holders of the Offer Shares within 7 days from the date of this announcement.

For the information of CRG’s shareholders, the Board had on 15 August 2023 announced that MainStreet Advisers Sdn Bhd has been appointed to act as an Independent Adviser to advise and make recommendations for the consideration of CRG’s shareholders in connection with the Transfer and Withdrawal of Listing as well as the fairness and reasonableness of the Exit Offer.
