Reference is made to the Company's announcement made on 20 January 2026 in relation to the Memorandum of Agreement. Unless otherwise defined, the definitions set out in the said announcement shall apply herein.

In the aforesaid announcement, the Company had stated that a further announcement would be made upon the execution of a definitive agreement in respect of the Proposed Joint Venture.

The Board of Directors of GREENTEC ("Board") wishes to announce that GREENTEC, has on 16 June 2026 entered into a Joint Venture Agreement ("JVA") with Achelous Pure Metal Company Limited ("ACHELOUS HK") and Achelous Greentech Sdn Bhd ("ACHELOUS MY"), a 60%-owned subsidiary of ACHELOUS HK, which sets out the definitive terms governing the Proposed Joint Venture.

Pursuant to the JVA, the Parties shall establish a joint venture company ("JV Company") to undertake the business of metal recovery, including but not limited to recovery from lithium-ion batteries, black mass and other feedstock, as well as the deployment, utilisation, and commercialisation of ACHELOUS HK's metal recovery technologies and such other related business as the Parties may mutually agree in writing from time to time ("JV Business").

GREENTEC, ACHELOUS HK and ACHELOUS MY are collectively referred to as the "Parties" and individually as a "Party".
