We refer to the announcements made on 7 April 2026 and 9 April 2026 in relation to the Proposals  ("Announcements"). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, TA Securities wishes to announce that Bursa Securities has, vide its letter dated 29 June 2026, approved the following:

(i) listing and quotation of 200,000,000 Consideration Shares to be issued pursuant to the Proposed Acquisition of VSure Tech; and

(ii) admission to the Official List and listing and quotation of 583,471,945 Warrants to be issued pursuant to the Proposed Bonus Issue of Warrants,

on the ACE Market of Bursa Securities.

The approval of Bursa Securities for the above is subject to the following conditions:

(i) TFP and TA Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Acquisition of VSure Tech and Proposed Bonus Issue of Warrants;

(ii) TFP is required to furnish Bursa Securities with a certified true copy of the resolutions passed by its shareholders at a general meeting for the Proposals;

(iii)TFP and TA Securities are required to inform Bursa Securities upon completion of the Proposed Acquisition of VSure Tech and Proposed Bonus Issue of Warrants;

(iv) TFP is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Acquisition of VSure Tech and Proposed Bonus Issue of Warrants are completed;

(v) In respect of the Proposed Bonus Issue of Warrants, TFP and TA Securities are required to provide a written confirmation that the terms of the Warrants are in compliance with Rule 6.55(3) of the Listing Requirements; and

(vi)TFP is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Warrants as at the end of each quarter together with a detailed computation of listing fees payable.
