The aforesaid transaction refers to the acqusition of 100% equity interest in Ingress Delta Construction Sdn Bhd by from Vincent Gan Kean Cheang to be fully satisfied via issuance of 63,398,140 new ordinary shares in Silver Ridge Holdings Bhd ("SRHB Shares"). For info, 47,548,606 out of thr SRHB Shares was placed with Tee Wei Fong & Co., the stakeholder, as the security for the performance of profit guarantee. The shares Shall be released to Vincent Gan Kean Cheang in accordance with the terms of the Share Sale Agreement and Profit Guarantee Agreement, both dated 28 February 2025 and also Supplemental Agreement dated 28 March 2025. |
