The Board of Directors of SHH wishes to announce that Sunway Medical Centre Sdn Bhd ("SMC"), a 99.9%-owned subsidiary of the Company, has on 29 July 2026, entered into a sale and purchase agreement ("SPA") with Sunway Marketplace Sdn Bhd ("Sunway Marketplace"), Sunway Parkview Sdn Bhd ("Sunway Parkview") and Sunway Iskandar Sdn Bhd ("Sunway Iskandar"), in relation to the proposed acquisition of four (4) parcels of freehold lands measuring in aggregate approximately 9.918 acres, all located at Sunway City Iskandar Puteri in Mukim Pulai, Daerah Johor Bahru, Negeri Johor, for a total purchase consideration of RM45,370,000.00 (Ringgit Malaysia Forty Five Million Three Hundred and Seventy Thousand Only). Sunway Marketplace and Sunway Parkview are wholly-owned subsidiaries of Sunway Iskandar, which in turn is a joint venture company of Sunway City Sdn Bhd, which in turn is a wholly-owned subsidiary of Sunway Berhad.

SMC and Sunway Marketplace had previously entered into a sale and purchase agreement dated 18 November 2024 ("Existing SPA") for the acquisition of a registered lease over a parcel of freehold land held under H.S.(D) 605673, PTD 200694 as disclosed in the Prospectus of the Company dated 27 February 2026. The Existing SPA has been terminated on even date following the execution of the SPA.
