We refer to the announcements dated 10 February 2026 and 13 February 2026 in relation to the Proposed Disposal (collectively, the "Earlier Announcements").

Unless otherwise stated, all defined terms in this announcement shall carry the same meanings as defined in the Earlier Announcements.

The Board of Directors of IWCity wishes to announce that all conditions precedent set out in the Sale and Purchase Agreement ("SPA") have been duly fulfilled. Consequently, the SPA has become unconditional on 4 August 2026 and accordingly the Completion Period shall expire on 4 January 2027, with an automatic extension of one (1) month from the expiry of the Completion Period.
