The Board of Directors of Genting Malaysia Berhad (“Board”) wishes to announce that the Board has on 13 October 2025 received a notice of conditional voluntary take-over offer (“Notice”) from AmInvestment Bank Berhad on behalf of the Offeror to acquire all the remaining ordinary shares in Genting Malaysia Berhad (excluding treasury shares) not already held by the Offeror (“Offer Shares”) for a cash offer price of RM2.35 per Offer Share.



A copy of the Notice is enclosed herewith and the same will be posted to the holders of the Offer Shares within 7 days from the date of this announcement.

（吉隆坡28日讯）Kerjaya Prospek Property Bhd（KL:KPPROP）提议发行附加股和可赎回可转换无担保债券股（RCULS），筹集至多1亿4718万令吉，主要资助产业发展项目和偿还贷款。

根据向大马交易所的报备，将按2配1比例发行附加股，每股20仙，涉及2亿7382万股，筹措5476万令吉。

RCULS则按4配3比例发行，涉及4亿1073万股，8年期，利息为4.2%，每股22.5仙，筹资9241万令吉。

Kerjaya Prospek Property指出，RCULS转换价格定为每股22.5仙，理论除权价31.62仙，折价28.84%。

该集团表示，持有公司74.11%股权的大股东Javawana私人有限公司，已承诺根据其所有权认购附加股和RCULS，估计金额为1亿907万令吉。

Kerjaya Prospek Property执行董事拿督斯里郑荣和和妻子拿汀卓秀全，以及拿督郑荣成通过Javawana持有公司股权。

该股今日无交易，最后收盘价为45仙，市值报2亿6100万令吉。过去一年则下跌了39%。
